TERMS OF USE, TOGETHER WITH PRIVACY POLICY, COOKIES POLICY, AND REFUND POLICY

Welcome to Home Investor Tool (HIT) one of a series of BIPPO LLC family of tools Terms of Use and Privacy Policy. By using HIT’s web sites (defined to include all properties (mobile, Web or otherwise) related data, and/or related services (collectively, "Services"), constitutes your acceptance of the updated Policies.

 

We have tried to make this as simple as possible so we divided this up into sections you can pull down and read as individual sections. Its still long winded but my lawyer provided oversite and guidance and that is just a long winded affair. Just saying.

1. User’s Acceptance of Terms of Use

 

a. This BIPPO LLC – HIT End User License Agreement and Terms of Service (the "Agreement") is made between you (the end user of the HIT software and services described herein) and BIPPO IIC., a TEXAS corporation with its principal place of business at 5307 E Mockingbird Lane 5th Floor, Dallas, Texas 75206 ("BIPPO", "we", or "us"). You agree that this Agreement is legally binding upon you and equivalent to any written negotiated agreement signed by you. Your use of any software product, including any mobile application, provided by HIT to you, and any accompanying services provided by HIT or BIPPO to you, is subject to the terms of this Agreement. Certain features may be subject to additional guidelines, terms, or rules, which will be made available to you in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into this Agreement

 

b. BY LICENSING, USING OR DOWNLOADING HIT OR SUBSCRIBING TO OR USING HIT SERVICES (INCLUDING SUBMITTING AN ORDER FORM OR CLICKING ON A "SUBMIT" "SIGN ON" "I AGREE" OR SIMILAR BUTTON IN CONNECTION WITH OBTAINING BIPPO SOFTWARE OR SERVICES): (1) YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THIS AGREEMENT, AND (2) YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS, EITHER PERSONALLY OR (IF YOU HAVE NAMED OR ARE USING THE SOFTWARE AND SERVICES ON BEHALF OF A COMPANY AS THE END CUSTOMER), ON BEHALF OF SUCH COMPANY, IN WHICH CASE YOU ALSO REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH COMPANY TO THESE TERMS. IF YOU DO NOT AGREE TO THIS AGREEMENT, OR IF YOU DO NOT HAVE SUCH AUTHORITY, YOU SHOULD CLICK ON THE "CANCEL" BUTTON AND REFRAIN FROM USING THE SOFTWARE AND THE SERVICES

2. Our right to make changes to Terms of Use

 

a. HIT and/or BIPPO MAY CHANGE, ADD OR REMOVE ANY PART OF THIS AGREEMENT AT ANY TIME. IF ANY FUTURE CHANGES ARE UNACCEPTABLE TO YOU, YOU SHOULD DISCONTINUE USING HIT SOFTWARE AND SERVICES. YOUR CONTINUED USE OF HIT SOFTWARE AND SERVICES FOLLOWING THE POSTING OF NOTICE OF ANY SUCH CHANGES WILL INDICATE YOUR ACCEPTANCE OF ANY SUCH CHANGES.

3. Your account and your responsibilities

 

a. Permissible Use. Unless you are a real estate or lending professional acting in your professional capacity, you agree to use the Services for your personal use, and your commercial use is limited to transactions done on your own behalf. The commercial use of real estate and lending professionals is limited to providing information to consumers via the Services or, where authorized, taking actions on behalf of a consumer client (e.g., post a home for sale). Without limitation, lending professionals and institutions are prohibited from using information provided by BIPPO through the Services in making any loan-related decisions. The Services may be used only for transactions in residential real estate and may not be used for transactions in commercial real estate, which includes, without limitation, commercially zoned properties, timeshares, and vacation rentals. Subject to the restrictions set forth in the following paragraphs, you may copy information from the Services only as necessary for your personal use to view, save, print, fax and/or e-mail such information. You agree otherwise not to reproduce, modify, distribute, display or otherwise provide access to, create derivative works from, decompile, disassemble or reverse engineer any portion of the Services.

 

b. Restrictions and Additional Terms. You agree not to remove or modify any copyright or other intellectual property notices that appear in the Services. You will not use the Services for resale, service bureau, time-sharing or other similar purposes.

 

c. Acceptable Use. You agree not to use the Services in any way that is unlawful, or harms BIPPO, its service providers, suppliers or any other user. You agree not to use the Services in any way that breaches BIPPO Rent and BIPPO ARV from BIPPO LLC And Property Align Inc a partner company to BIPPO and no other analytic service unless otherwise referenced. Terms or any other policy or notice on the Services. You agree not to distribute or post spam, chain letters, pyramid schemes, or similar communications through the Services. You agree not to impersonate another person or misrepresent your affiliation with another person or entity. Except as expressly stated herein, these Terms of Use do not provide you a license to use, reproduce, distribute, display or provide access to any portion of the Services on third-party Web sites or otherwise. Except as expressly stated herein and without limitation, you agree that you will not, nor will you permit or encourage any third party to, reproduce, publicly display, or otherwise make accessible on or through any other Web site, application, or service any reviews, ratings, and/or profile information about real estate, lending, or other professionals, underlying images of or information about real estate listings, or other data or content available through the Services.

 

d. Automated Queries. Automated queries (including screen and database scraping, spiders, robots, crawlers and any other automated activity with the purpose of obtaining information from the Services) are strictly prohibited on the Services, unless you have received express written permission from BIPPO. As a limited exception, publicly available search engines and similar Internet navigation tools ("Search Engines") may query the Services and provide an index with links to the Services' Web pages, only to the extent such unlicensed "fair use" is allowed by applicable copyright law. Search Engines are not permitted to query or search information protected by a security verification system ("captcha") which limits access to human users.

4. Your Use of the Platform, rights and conditions

 

a. Materials You Provide; Account Use; Privacy; Third Party Web Sites. For materials you post or otherwise provide to HIT in connection with the Services (your "Settings"), you grant HIT an irrevocable, perpetual, royalty-free worldwide license to (a) use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, prepare derivative works of or incorporate into other works, and translate your Submission, in connection with the Services or in any other media, and (b) sublicense these rights, to the maximum extent permitted by applicable law. HIT will not pay you for your Submission or to exercise any rights related to your Submission set forth in the preceding sentence. HIT may remove or modify your Submission at any time. For each Submission, you agree to provide accurate and complete information and represent that you have all rights necessary to grant HIT the rights in this paragraph, that HIT’s use of the Submission will not infringe any third party rights and that the Submission complies with Section 2(a) above. You are solely responsible for all Submissions made through your user account(s) on the Services or that you otherwise make available through the Services. 

 

b. Calls. If you, as a consumer, choose to contact a real estate agent through the Services by filling out a contact request or other request form on the Services (Make Offer Button), you authorize HIT to provide your name and contact information and other identifying information you provide Property Align Inc, a real estate brokerage and partner in DDT LLC. You will be advised at the time of submission that you are entering into a brokerage relationship with PA, Inc and are requesting representation on the particular property you are interested in purchasing. Unless you enter into a broader relationship with PA Inc, the representation is limited to individual properties only. The relationship is binding and irrevocable at the time of the request to Make an Offer. You acknowledge that, by submitting your contact request or other request form on the Services, you may receive calls and emails from agents of PA Inc with the telephone number(s) and emails you provide. The Services may provide phone numbers that can connect you with HIT, its service providers, or other third parties, such as real estate agents. Some of the numbers listed may be routed through a third party service ("Calling Service"). Calls through the Calling Service may be recorded or monitored for quality assurance and customer service purposes. In the event that you make a call to HIT or through a Calling Service, you consent to such recording and monitoring. HIT will treat recorded calls in accordance with its Privacy Policy. 

 

c. You may not share your user account with others. You are responsible for all actions taken via your account. HIT will treat your use of the Services in accordance with its Privacy Policy. Certain BIPPO functionalities may involve the distribution of your Submission to third party Web sites over which BIPPO have a partner relationship, in particular Property Align Inc. . Property Align Inc provides CRM and related marketing services to HIT and in that capacity monitors and reports member activity so HIT can provide s better user experience. In some cases Property Align Inc may be invited to represent HIT’s members in certain real estate transactions as broker and is therefore, permitted to use member information in execution of its fiduciary duties.. BIPPO is not responsible for and makes no warranties or representations pertaining to these third party Web sites, including but not limited to the content, availability, or functionality of such Web sites. You are responsible for ensuring that your Submission complies with the terms of use associated with any such third party Web site and you understand that your Submission and your use of a third party Web site will be treated in accordance with that third party Web site's own privacy policy.

 

d. Description of the Platform

HIT’s functionality 

c. Property Align ARV, Property Align Rents are provided by BIPPO LLC and no other automated service of any kind. Once a property is boarded into the Asset Basset PA ARV and Rent is determined using the parameters set forth in the calculator. Those values may remain in place for as long as 60 days from the initial entry though may be overwritten by an authorized PA agent or BIPPO LLC or HIT manager using BIPPO LLC tools who are trained in evaluating the property. A subscriber may order a BPO from PA Inc and though the details of that report may only be reported to the paying subscriber the results may be used to replace the automated ARV. In most cases both will be published and the BPO value will be used to calculate the Max Bid and Max Offer if the agent or broker deems the new value more relevant. Asset Basset will be continually updating all properties regardless of whether a BPO has been ordered on no more than the 60 day cycle noted above. There are thousands of status change in MLS every day; therefore, comps used in the original PA ARV may change. It would be cumbersome to change every value or rent projection on this basis. 

 

1. Transparency BIPPO Values and Rents are determined using specific criteria set forth in the HIT calculator and adhere to the requirements set forth by MLS. Each value is determined by using actual Sold comps; adjustments are made using calculations obtained from standard practices of the NABOPB and specific to each of the markets in which HIT is available and trending information made available from paring analysis provided by BIPPO LLC and other data and analytic sources exclusive to BIPPO LLC and its family of companies. At no time are algorithms used to determine values or rents. Algorithms are used to score condition assessments and HIT confidence score addresses the weight of ech individual score. As HIT receives information from members about condition the confidence scope may change to reflect the likelihood that the original score is questionable. 

 

2. Comps Used in the determination of PA ARV Value and Rents – Comps are selected using specific criteria set forth in the definition of ARV in the Comp calculator. BIPPO LLC has developed and continues to develop algorithms to sort through sold data to identify best comps available. . In all cases the comps selected meet the standards defined by BIPPO and brackets based on GLA and or condition as well as the other defined quantifiable fields. 

 

3. Access – Pursuant with the terms defined in the calculator if there is any question about a specific property an agent or broker familiar with the methods and comps used will respond to your inquiry. 

Google Maps. Some of the Services implement the Google Maps web mapping service. Your use of Google Maps is subject to Google's terms of use, located at http://www.google.com/intl/en_us/help/terms_maps.html

d. Ownership of content/grant of license

f. NO WARRANTY. BIPPO LLC and HIT PROVIDES THE SERVICES "AS IS," "WITH ALL FAULTS" AND "AS AVAILABLE," AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DDT AND ITS SUPPLIERS MAKE NO REPRESENTATIONS, WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED. BIPPO LLC AND ITS SUPPLIERS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OR CONDITIONS, EXPRESS, STATUTORY AND IMPLIED, INCLUDING WITHOUT LIMITATION (A) WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, TITLE, QUIET ENJOYMENT, NO ENCUMBRANCES, NO LIENS AND NON-INFRINGEMENT, (B) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OF TRADE, AND (C) WARRANTIES OR CONDITIONS OF UNINTERRUPTED OR ERROR-FREE ACCESS OR USE.

 

Reporting infringements if you believe anything on site infringes on your rights

 

Software. The Services may include software for use in connection with the Services. If such software is accompanied by an end user license agreement ("EULA"), the terms of the EULA will govern your use of the software. 

 

Claims of Copyright Infringement. HIT respects the intellectual property rights of others, and asks that everyone using the Services do the same. Anyone who believes that their work has been reproduced on the Services in a way that constitutes copyright infringement may notify DDT's copyright agent in accordance with Title 17, United States Code, Section 512(c)(2), by providing the following information:

 

1. Identification of the copyrighted work that you claim has been infringed;

 

2. Identification of the material that you claim is infringing and needs to be removed, including a description of where it is located on the Services so that the copyright agent can locate it;

 

3. Your address, telephone number, and, if available, e-mail address, so that the copyright agent may contact you about your complaint; and

 

4. A signed statement that the above information is accurate; that you have a good faith belief that the identified use of the material is not authorized by the copyright owner, its agent, or the law; and, under penalty of perjury, that you are the copyright owner or are authorized to act on the copyright owner's behalf in this situation.

Intellectual Property. The Services are the property of HIT and subject to the intellectual property rights of BIPPO LLC and its licensors. © 2014-2016 BIPPO LLC. 

 

BIPPO LLC does not assert copyright or grant any rights to the underlying images or descriptions of real estate listings provided through the Services. Any use of these images and descriptions is subject to the copyright owner's permission and/or the requirements of applicable law.

 

g.Material obtained from third parties and sources not under our control

 

Linked Materials and Third-Party Materials. The Services include links to third-party products, services and Web sites, as well as materials provided by third parties. HIT does not endorse, and takes no responsibility for such products, services, Web sites, and materials. You understand that HIT has no obligation to, and generally does not, approve or monitor materials provided by third parties through the Services. Your dealings with any third party arising in connection with the Services are solely between you and such third party, and HIT takes no responsibility for any damages or costs of any type arising out of or in any way connected with your dealings with these third parties.

 

h.General Disclaimer of warranties, representations, etc.

 

a. Changes; Discontinuance. HIT reserves the right to change these Terms of Use at any time in its sole discretion. Any changes will be effective immediately upon posting the revised version of these Terms of Use to DDT's properties. Your continued use of the Services after the effectiveness of such changes will constitute acceptance of and agreement to any such changes. You further waive any right you may have to receive specific notice of such changes to these Terms of Use. You are responsible for regularly reviewing these Terms of Use. HIT may alter, suspend or discontinue the Services at any time to you and/or to others, without notice.

 

i. Choice of Law; Disputes. These Terms of Use are governed by the laws of the State of Texas without giving effect to its conflict of laws provisions. You agree to submit to exclusive jurisdiction and venue in the state and federal courts sitting in Dallas County, Texas for any and all disputes, claims and actions arising from or in connection with the Services and/or these Terms of Use. In any dispute arising under this Agreement, the prevailing party will be entitled to attorneys' fees and expenses.

 

General. You agree not to export from anywhere any part of the Services provided to you or any direct product thereof except in compliance with, and with all licenses and approvals required under, applicable export laws, rules and regulations. All Services used by the U.S. Government are provided with the commercial license rights described herein. If any part of these Terms of Use is determined to be invalid or unenforceable, then the invalid or unenforceable provision will be replaced with a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Use will continue in effect. The section titles in these Terms of Use are solely used for the convenience of the parties and have no legal or contractual significance. HIT may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign these Terms of Use, or assign, transfer or sublicense your rights, if any, in the Service. HIT’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. Except as expressly stated herein, these Terms of Use constitute the entire agreement between you and HIT with respect to the Services and supersede all prior or contemporaneous communications of any kind between you and HIT with respect to the Services. The following sections of these Terms of Use shall survive any termination of these Terms of Use: 3, 11, 12, 13, 15 through 18

 

i. Limitation of your liability

 

LIABILITY LIMITATION; EXCLUSIVE REMEDY. IN NO EVENT WILL HIT OR ANY SUPPLIER BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM THESE TERMS OF USE OR YOUR USE OF THE SERVICES, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE EXCLUSION OF DAMAGES UNDER THIS PARAGRAPH IS INDEPENDENT OF YOUR EXCLUSIVE REMEDY SET FORTH BELOW AND SURVIVES IN THE EVENT SUCH REMEDY FAILS OF ITS ESSENTIAL PURPOSE OR IS OTHERWISE DEEMED UNENFORCEABLE. THESE LIMITATIONS AND EXCLUSIONS APPLY WITHOUT REGARD TO WHETHER THE DAMAGES ARISE FROM (A) BREACH OF CONTRACT, (B) BREACH OF WARRANTY, (C) NEGLIGENCE, OR (D) ANY OTHER CAUSE OF ACTION, TO THE EXTENT SUCH EXCLUSION AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW. IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS OF USE, OR YOU HAVE ANY DISPUTE OR CLAIM AGAINST BIPPO LLC or HIT OR ITS SUPPLIERS WITH RESPECT TO THESE TERMS OF USE OR THE SERVICES, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICES.

5. User agrees to indemnify you for use in a way that results in damage to us

i. Indemnification. You agree to defend and hold HIT and its parent BIPPO LLC , and its affiliates, and their respective directors, officers, employees, and agents harmless from any and all claims and demands made by any third party due to or arising out of your breach of these Terms of Use, your use of the Services, your violation of any law or the rights of a third party, or any Submission made through your user account on the Services or that you otherwise make available through the Services.

ii. Release. You release HIT and BIPPO LLC, its affiliates, and their respective directors, officers, employees and agents from all liability related to any and all claims and demands you may assert against any third party arising out of the Services. If you are a California resident, you waive California Civil Code Section 1542, which states, "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

Advertising. HIT’s primary business is to sell subscription servicers to investors and end users of residential property. HIT has elected to keep the site free of advertising at this time though have entered into partnership agreements with vendors and will undoubtedly add to the list in time who may have limited advertising in selected areas of the site only. Our goal is to keep our subscribers experience as clutter free as possible though this policy may change at some future time depending on future costs to deliver an affordable solution to our subscribers. If the policy changes as with any policy change will be updated for you or review and agreement the first time a subscriber logs into the site after the change has been made

13. Arbitration clause

Dispute Resolution Any claim or controversy arising out of or relating to the use of the Sites, to the goods or services provided by BIPPO a or HIT , or to any acts or omissions for which you may contend DDT is liable, including but not limited to any claim or controversy as to arbitrarily ("Dispute"), shall be finally, and exclusively, settled by arbitration. The arbitration shall be held before one arbitrator under the commercial arbitration rules of the American Arbitration Association ("AAA") in force at that time. The arbitration shall be venue in Dallas, Texas . The arbitrator shall be selected pursuant to the AAA rules or from a list of arbitrators provided by HIT. . Filing and other non-award costs will be paid for, in equal shares, by both parties except that the fee to the arbitrator will be paid by the non-prevailing party. To begin the arbitration process, a party must make a written demand. Should any State or Federal law conflict with the above rules for resolving disputes or the AAA rules, such conflicting rules shall be severed from the enforceable rules and the enforceable rules shall survive and control the dispute resolution process. Any gaps left in the process due to severed rules shall be resolved at the discretion of the selected arbitrator. Any judgment upon the award rendered by the arbitrators may be entered in any court of competent jurisdiction in Dallas, Texas. The arbitrators shall not have the power to award damages in connection with any Dispute in excess of actual compensatory damages and shall not multiply actual damages or award consequential, punitive or exemplary damages, and each party irrevocably waives any claim thereto. The agreement to arbitrate shall not be construed as an agreement to the joinder or consolidation of an arbitration under this agreement with arbitration of disputes or claims of any non-party, regardless of the nature of the issues or disputes involved.

 

Should a Dispute arise and should the arbitration provisions herein become inapplicable or unenforceable, or in any instance of any lawsuit between you and HIT the parties agree that jurisdiction over and venue of any suit shall be exclusively in the state and federal courts sitting in Dallas, Texas . If either party employs attorneys to enforce any right in connection with any Dispute or lawsuit the prevailing party shall be entitled to recover reasonable attorneys' fees

14. Refund Policy

a. All fees are collected in advance for the next month. In addition to these Terms of Use, your monthly HIT membership services is subject to your payment of the applicable fees. If HIT is unable to bill the credit card on file, notice will be sent to the email address on file and up to five additional billing attempts will be made within the 3 day period from the first unsuccessful billing attempt. After the last unsuccessful billing attempt, the services will be suspended, but you will remain responsible for unpaid amounts owed to HIT. If you are not satisfied with the HIT service, please contact us via email at support@HomeInvestorToolt.com. HIT subscription services can be cancelled at any time by emailing support@HomeInvesorTool.com. If the subscription is billed on a recurring basis, and you cancel it during a billing cycle, you will be billed the full amount due during that billing cycle. Refunds will be reversed and the credit card used will be credited less any fees incurred by HIT and will not be prorated. 

 

b. 7 day free trial period. HIT requires a valid credit card to initiate an account. During the 7 day trial, HIT may contact the user by email or other means to assure the member is gaining the full benefit provided by HIT and BIPPO. Each user will be encouraged to commence with the full benefits of the HIT account during the trial. AT the end of the trial HIT WILL NOT AUTOMATICALLY DEBIT THE CREDIT CARD UNTIL THE MEMBER CONFIRMS THAT THE USER WANTS TO PROCEED. Without expressed permission to debit the account HIT will suspend the account until such a time that the member elects to proceed. There will only be one trial period for all potential members 

 

c. LIMITED TIME Subscription fee for Brokerage Services. The current offer to refund one monthly subscription fee per month is offered from Property Align Inc and is paid on the Settle Statement only. HIT is able to advertise and use this e incentive for User’s to offset their monthly subscription. The refund of the subscription is for the month in which any or all properties close and is strictly tied to the closing. The refund is for the month of closing only and is only for one property and is restricted to that month.

Simply stated DDT does not share any information about you or your buying behaviors with any third party not specifically named in the Terms of Service. 

 

Privacy Policy will be updated in accordance with federal and State law and will be sent to each current and previous Subscriber in so far as they may be affected by the change.

 

HIT and BIPPO LLC are not in the business of selling information to other web sites or vendors though, from time to time DDT may have opportunities with third parties which might be worth offering to certain subscribers or the larger class of subscribers. 

Vendors and Suppliers

 

HIT may offer opportunities for contractors, title companies, lenders, engineers, trades and laborers to purchase advertising and is limited to specific areas on the HIT site. All vendors, contractors, title companies, trades and laborers will be monitored for fair and responsible business practices. When a member uses any of the HIT advertisers we request a survey from the member about their experience with that contractor, title company, …. The results will be posted as part of their profile though the member may opt out of using their name. HIT may elect to postpone specific survey results if there is clearly a negative experience until such a time that HIT can investigate the claim. HIT may find it necessary to hold certain surveys indefinitely. HIT is not an arbitrator between vendors and HIT members; this is a service being offered to find available vendors and services. Vendors who have repeated negative surveys may be asked to find other ways to advertise; HIT relies on the members to rate vendors interested in doing business with HIT members. Vendors will also be surveyed about their experience with specific HIT members. The results of member’s behavior with HIT vendors will not be published at this time. In extreme cases of unfair and irresponsible business practices HIT may find it necessary to encourage specific HIT members to find vendors through other services.
